Terms of Service

Effective date: October 23, 2026

These terms are between ValidShip LLC, a Pennsylvania limited liability company ("ValidShip", "we") and the business that signs up for ValidShip ("you"). They cover the ValidShip app, the reviews we do, and our website. If you have a signed order form with us, it wins where it disagrees with these terms. The Data Processing Agreement (DPA) is part of these terms and wins on anything about personal information.

The person accepting these terms confirms they can bind the business they work for.

1. What we do

You send us lost-package claims. Our reviewers check the delivery evidence, and when a claim calls for it, we email your customer in your store's name to ask what happened. When identity checks are on, we also ask the customer to confirm who they are through our identity provider, Stripe. For each claim we give you a recommendation: refund, deny, or not enough to tell, with a short written reason.

  • You make the call. Our findings are recommendations. Whether to refund, deny, or do anything else with a customer is your decision, and you're responsible for it.
  • We can't promise outcomes. We work from the evidence available, which is sometimes incomplete or wrong. We don't guarantee that any claim we flag is fraudulent, or that any claim we clear is honest, or that you'll save a particular amount.
  • It isn't legal advice. Nothing we send you is legal, accounting, or chargeback advice.
  • Free historical review. We may review a batch of your past claims for free before you sign up for ongoing reviews. The same terms apply to it. You don't owe anything for it, and we don't owe you ongoing work because of it.
  • Changes to the service. We may improve or change features. We won't remove anything you rely on without telling you first.

2. Your account and your responsibilities

Accounts. Accounts are by invitation only. Your owner can invite teammates. Keep passwords private, and tell us right away at youssef@validship.com if you think someone got into your account. You're responsible for what happens under your account.

The information you send us. You're responsible for having the right to share your customers' information with us for claim review. That includes telling them, in your own privacy policy, that you use service providers to prevent fraud. The details you send should be accurate as far as you know.

Contacting your customers. When we email a customer about a claim, we do it in your store's name and only about that claim. You agree that we can.

What you can't do:

  • use ValidShip to harass, threaten, or discriminate against anyone;
  • send us claims or information you aren't allowed to share;
  • try to get into other businesses' data, or around our security;
  • copy, resell, or reverse engineer the service;
  • overload or disrupt it.

We can suspend access if you break these rules or put other people's data at risk. Where we can, we'll tell you first.

3. Fees, data, and confidentiality

Fees. Prices are in your order form or the quote we send you. Invoices are due within 30 days. Fees don't include taxes. If an invoice is more than 15 days late, we may pause reviews after telling you. We'll tell you at least 30 days before a price change applies to you. Fees you've paid aren't refundable, except where these terms say otherwise.

Personal information. We handle your customers' information as your service provider, under the DPA. In short: we only use it to review your claims, we don't sell it, and we delete it on the schedule in the DPA and our Privacy Policy.

Your data stays yours. You own the claims and information you send us. When you leave, you can ask for a copy of your claims and findings within 30 days, and then we delete them as the DPA describes.

What we can use. We may use counts and statistics that don't identify you, your customers, or any person, to run and improve ValidShip.

Confidentiality. Each of us keeps the other's non-public business information confidential and uses it only for this relationship. That doesn't cover information that's already public, that the other side already had, or that a law or court requires us to disclose.

Our software. ValidShip, its software, and our review methods belong to us. If you send us suggestions, we can use them without owing you anything.

4. Warranties and liability

What we promise. We'll do the reviews with reasonable care and skill, and keep the security measures described in the DPA. Beyond that, ValidShip is provided as is. We don't promise it will be uninterrupted or error-free, or that any review result will be right.

Limits on liability. Neither of us is liable to the other for lost profits, lost revenue, or indirect or consequential damages. Each side's total liability under these terms is capped at the fees you paid us in the 12 months before the claim arose, or $1,000 if that's more. The caps don't apply to your payment obligations, either side's indemnity obligations, or either side's gross negligence or willful misconduct.

Indemnity. You'll cover us if a third party, including one of your customers, makes a claim against us because of a decision you made about a refund, or because you didn't have the right to share information with us. We'll cover you if a third party claims ValidShip's software infringes their intellectual property.

5. Ending, changes, and the rest

Ending. Either of us can end these terms with 30 days' written notice, or right away if the other side seriously breaks them and doesn't fix it within 15 days of being told. You pay for reviews done up to the end date. The sections on fees owed, data, confidentiality, liability, and indemnity keep applying afterward.

Changes to these terms. We'll email your account owner at least 30 days before a change that affects you takes effect. If you don't agree, you can end these terms before then without penalty.

Law and disputes. These terms are governed by the laws of Pennsylvania. Disputes go to the state or federal courts in Philadelphia County, Pennsylvania.

The rest. Neither of us can transfer these terms without the other's consent, except as part of a merger or sale of the business. If a court strikes out one part, the rest still applies. Not enforcing a term right away doesn't mean giving it up. Neither of us is responsible for delays caused by events outside our reasonable control.
